Rise Miniatures Commercial Licence Agreement

This Agreement (the “Agreement”) is entered into between:
Rise Miniatures, a sole proprietorship (entreprise individuelle) operated under the French auto-entrepreneur scheme by Yohan Riso, trading under the artist name “M. Ritournelle”, hereinafter referred to as “Rise Miniatures”, “the Licensor”, “we”;
And any individual or legal entity accepting the terms of this Agreement by subscribing to a Commercial Licence, hereinafter referred to as “the Licensee”.
This Agreement exclusively governs the commercial physical exploitation of miniatures from the Licensed Ranges of Rise Miniatures, as defined in Article 1.1. It does not cover any other range, creation, or intellectual property of Rise Miniatures.
Article 1 — Grant of Licence
Rise Miniatures grants the Licensee, for valuable consideration and for the duration defined in Article 4, a non-exclusive, personal and non-transferable right, terminable under the conditions set out in Article 8, to manufacture and sell physical products derived from the STL files of the Licensed Ranges.
This commercial right is strictly distinct from the acquisition of the STL files themselves, governed by Article 6.
The Licence covers only the STL files of the Licensed Ranges lawfully purchased by the Licensee from Rise Miniatures or an authorised distributor (notably Cults3D), including through a crowdfunding campaign run by Rise Miniatures. It does not extend to any other range or creation of Rise Miniatures.
1.1 Licensed Ranges
The Licensed Ranges are the Rise Miniatures ranges listed, for the tier the Licensee subscribes to, on the list published on the Rise Miniatures Patreon page and website. At the date of this Agreement, this list includes the Rise of Ancient Wars (“RAW”) and Rise of Orbital Worlds (“ROW”) ranges.
Rise Miniatures decides at its own discretion which ranges are on this list and which tiers they are open to. A range added to the list is covered by the Licence as soon as the updated list is published, with no action required from the Licensee. A range that is not on the list is not covered.
Some creations in the Licensed Ranges may be compatible with games or settings owned by third parties. The Licensee may sell them as generic miniatures. However, the Licensee may only present them as intended for a third-party game, or use that game's name, trademark or elements in its listings, after obtaining, at its own expense, the licence or authorisation of the rights holder.
Rise Miniatures may exclude a specific model of a Licensed Range from the Licence, provided it states so before that model is released for sale.
Rise Miniatures may remove a range from the list by giving the Licensees concerned thirty (30) days' written notice. From the effective date of the removal, the effects set out in Article 8.3 apply to the products of that range, while the Licence remains in force for the other Licensed Ranges.
Article 2 — Licensed Entity
The Licence is granted to a specific individual or legal entity. It may not be shared, assigned, transferred, sublicensed, or made available to a third party, including within the same group of companies, without the prior written consent of Rise Miniatures.
The Licensee may not use the Licence on behalf of several distinct entities or business names without the prior written consent of Rise Miniatures.
Article 3 — Scope of the Licence
3.1 A single licence, with no territorial exclusivity
The Rise Miniatures Commercial Licence carries no geographic exclusivity. Each Licensee may sell physical products worldwide, with no territorial restriction.
3.2 Number of Licensees
Rise Miniatures sets no cap on the number of Commercial Licences active at any given time.
3.3 Nationality and place of establishment
The Licensee remains solely responsible for complying with the legal, tax, customs and regulatory obligations applicable in each territory where it sells its products, including, where applicable, any requirement to appoint a local representative or register under an extended producer responsibility scheme or any applicable customs regime.
3.4 Pricing
The plans and pricing of the Commercial Licence (including monthly or annual) are those displayed on the Rise Miniatures Patreon page (or any successor platform designated by Rise Miniatures) at the time of subscription. These prices are independent of the Licensee's place of establishment or target market. Rise Miniatures may change these plans and prices at any time for new subscriptions.
Article 4 — Term and Renewal
Each Licence is entered into for the plan chosen by the Licensee among those offered on the subscription platform used, starting from its effective date.
The Licence is administered through a subscription taken out on the Patreon platform (or any successor platform designated by Rise Miniatures). It renews automatically, for a duration identical to the plan initially chosen, at each renewal date of that subscription, with no active step required from the Licensee.
The Licensee may change plan at any time for their next renewal, subject to the conditions of the subscription platform used. The Licensee may also end their Licence at any time by cancelling their subscription.
If the Patreon subscription ends, is cancelled, expires, or if a payment fails, the commercial rights granted by the Licence cease immediately.
The amount of the Licence fee does not depend on the size of the Licensed Ranges catalogue at the renewal date. The purchase of new STL files added to the Licensed Ranges remains separate and at the Licensee's expense.
Rise Miniatures may amend this Agreement. Any amendment will be notified to the Licensee in writing at least thirty (30) days before it takes effect. A Licensee who does not accept the new terms may cancel their subscription before that date. Keeping the subscription active after the amended version takes effect constitutes acceptance of the new terms.
4.1 Note regarding Cults3D
Access to promotional codes granting a discount on STL files available on Cults3D constitutes a benefit distinct from the Commercial Licence, and does not affect its duration as defined above. As the validity period of these codes follows Cults3D's monthly schedule, an overlap between two promotional codes may occur without this extending or renewing the term of the Commercial Licence.
Article 5 — Permitted Use
Subject to compliance with this Agreement, the Licensee may:
Manufacture physical products by 3D printing from lawfully acquired eligible STL files;
Sell these products through any lawful sales channel (online shop, marketplaces, conventions, trade shows, retailers);
Resize the files to the extent necessary for printing or to meet customer needs;
Sell painted or assembled versions of the printed products;
Use photographs of the printed products for commercial and promotional purposes;
Use the official logo provided by Rise Miniatures to identify the relevant products and their Licensee status;
State their status as “Official Rise Miniatures Merchant” for the duration of their Licence.
In return, the Licensee agrees to credit Rise Miniatures as the original sculptor of the miniatures across all of its sales and communication materials relating to the products covered by this Agreement (product listings, packaging, social media, trade shows), regardless of its own commercial brand. On product listings and online shops, this credit is accompanied by a link to the Rise Miniatures website or Patreon page.
Article 6 — STL Files
The Commercial Licence does not grant access to any STL file. The Licensee must purchase the files of the Licensed Ranges separately from Rise Miniatures or an authorised distributor, where applicable with a 30% discount reserved for active Commercial Licensees on the prevailing public price.
After the Licence expires or is terminated, the Licensee retains the personal-use right attached to lawfully purchased STL files, under the terms of the platform on which they were acquired. However, from the date of such expiry or termination, the Licensee immediately loses the right to commercially exploit these files.
Article 7 — Prohibited Use
The Licensee shall not:
Sell, share, distribute or transfer the STL files in any form whatsoever;
Upload the STL files to any file-sharing platform;
Use the STL files, printed products or Rise Miniatures images to train, feed or test any artificial intelligence system;
Scan the printed products or reconstruct the files through reverse engineering;
Modify, remix or create a derivative work from the STL files, except for technical adjustments necessary for printing (scaling, orientation, mesh repair) and minor modifications approved in advance in writing by Rise Miniatures, such as adding magnet slots;
Sell a product under a name different from the one under which Rise Miniatures published it, although translating that name into the language of sale is permitted;
Manufacture products by any process other than 3D printing, including moulding or injection;
Claim any ownership over Rise Miniatures' intellectual property;
Assign, transfer or sublicense this Licence to a third party;
Share their STL discount, or any other benefit tied to the Licence, with a non-Licensee third party;
Use Rise Miniatures' trademarks or visual identity elements beyond what is expressly authorised by this Agreement.
Article 8 — Termination
8.1 Grounds
Rise Miniatures may terminate the Licence with immediate effect, without prior notice, in the event of:
Unauthorised distribution of the STL files;
Infringement of Rise Miniatures' intellectual property rights;
Misrepresentation of the relationship with Rise Miniatures, including retaining Licensee status after the Licence has expired or been terminated;
Unlawful or fraudulent activity.
For any other breach of the obligations under this Agreement, Rise Miniatures will first send the Licensee a written warning, and the Licensee will have fifteen (15) days to remedy the breach. Should the Licensee fail to remedy it within that period, or should the same breach recur, Rise Miniatures may terminate the Licence with immediate effect.
8.2 Non-renewal
Simply not renewing the Licence at term is not considered a breach of this Agreement. It nonetheless results in the cessation of commercial rights under the conditions described below.
8.3 Effects of termination or non-renewal
Commercial rights, including the right to sell any stock already manufactured, cease immediately on the date of termination or expiry;
The Licensee has one (1) week from that date to remove their listings and sales offers for the relevant products from all of their sales channels;
This period is granted solely for the removal of listings; it does not, under any circumstances, authorise the Licensee to continue selling or to sell off any existing stock;
The Licensee retains the personal-use right attached to lawfully purchased STL files but immediately loses any right to exploit them commercially;
Any reference to “Official Rise Miniatures Merchant” status must be removed immediately;
The Licensee may take out a new Licence at any time to regain their commercial rights.
Article 9 — Intellectual Property and Third-Party Rights
All intellectual property rights, copyrights, trademarks, designs, digital files, product concepts and materials associated with the ranges and creations of Rise Miniatures remain the exclusive property of Rise Miniatures. No ownership right is transferred to the Licensee under this Agreement.
The Licence neither includes nor transfers any right belonging to a third party, including where a product from a Licensed Range would require additional authorisation relating to third-party intellectual property. The Licensee is solely responsible for obtaining any third-party authorisation required for its activity.
Article 10 — Licensee Status and Directory
An active Licensee may use the “Official Rise Miniatures Merchant” designation for the duration of their Licence.
Rise Miniatures maintains, on its website, a page listing active Commercial Licensees, according to the arrangements and update frequency it determines at its own discretion. The Licensee may ask in writing, at any time, not to be listed. A Licensee whose Licence has ended is removed from this page within a reasonable time.
Article 11 — Liability
Rise Miniatures warrants that it is the author of the Licensed Ranges designs and holds the rights necessary to grant this Licence.
The Licensee is solely responsible for the quality of its products, its manufacturing standards, packaging, customer service, returns, warranties, and compliance with the laws and regulations applicable in the territories where it sells its products, including any obligation relating to extended producer responsibility for packaging.
Rise Miniatures disclaims all liability for claims, returns, disputes or warranty requests relating to products manufactured and sold by the Licensee.
To the extent permitted by law, Rise Miniatures shall not be liable for any indirect, incidental or consequential damages arising from the use of the files or from the Licensee's business activity. The Licensee accepts all risks associated with manufacturing and selling products derived from Rise Miniatures' creations.
Article 12 — General Provisions
12.1 Development of the ranges
The Licence places no obligation on Rise Miniatures to release new files or new ranges, to add a range to the list of Licensed Ranges, or to maintain any particular release schedule.
12.2 End of the programme
Rise Miniatures may end the Rise Miniatures Commercial Licence programme by giving active Licensees thirty (30) days' written notice. The effects set out in Article 8.3 apply from the announced end date.
12.3 Severability
If any provision of this Agreement is held void or unenforceable, it shall be deemed unwritten, without affecting the validity of the remaining provisions, which remain in full force and effect.
Article 13 — Governing Law and Jurisdiction
This Agreement is governed by French law. Any dispute relating to its formation, performance or interpretation shall fall within the jurisdiction of the courts of the place where Rise Miniatures is established, subject to any applicable mandatory legal provisions.
This Agreement takes effect as soon as the Licensee subscribes to a Commercial Licence via Patreon (or any successor platform designated by Rise Miniatures). Such subscription constitutes full and entire acceptance of the terms of this Agreement.
